Version 2026-08-24 · Effective date: August 24, 2026
These Terms of Service ("Terms") govern access to and use of the SeppFlow platform ("SeppFlow," "we," "us," or "our"), a business‑management software platform for service businesses. By creating an account or otherwise using SeppFlow, you ("Customer," "you") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
SeppFlow is operated by [TODO: legal entity name], a company registered in [TODO: place of incorporation / company registration number], with a registered address at [TODO: registered business address]. If SeppFlow operates through separate entities for its Israeli and U.S. customers, each entity and the customers it contracts with must be identified here.
You must be at least 18 years old and have the authority to bind the business you are registering (the "Business") to these Terms. By registering, you represent that the information you provide is accurate and that you are authorized to act on behalf of the Business. SeppFlow is a business‑to‑business (B2B) service intended for commercial use by service businesses and their staff, not for personal, family, or household use.
SeppFlow provides tools for customer relationship management, quoting, scheduling, invoicing, and related business operations, delivered as a hosted, subscription‑based service ("Service"). We may modify, add, or remove features at any time; we will make reasonable efforts to notify you of material changes that reduce core functionality.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk to the Service or other users.
You retain ownership of the data you and your customers submit through the Service ("Customer Data"). You grant SeppFlow a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for having the necessary rights and consents to submit Customer Data, including any personal data belonging to your own clients, and for your own compliance with applicable law with respect to that data — including, where applicable, Israel's Privacy Protection Law, 5741‑1981, and relevant U.S. state privacy laws. See our Privacy Policy for how we handle data as a processor/service provider on your behalf.
Paid plans, where applicable, are billed in advance on a recurring basis (e.g., monthly or annually) as shown to you before you subscribe and confirmed at checkout. Subscriptions renew automatically for successive terms of the same length unless cancelled before the renewal date. Payment is processed by our third‑party payment provider; SeppFlow does not store your full payment card details. You authorize us (through our payment provider) to charge your payment method for all fees due.
You may cancel your subscription at any time from your account settings or by contacting support; cancellation takes effect at the end of the then‑current billing period unless stated otherwise at checkout. [TODO: confirm refund policy — e.g., no refunds for partial periods, prorated refunds, or a specific refund window]. Where applicable, Israeli consumers may have statutory cancellation rights under the Consumer Protection Law, 5741‑1981 (including distance‑transaction rules), and U.S. customers may have rights under applicable state law; nothing in this section limits those statutory rights.
[TODO: describe any free trial — length, whether a payment method is required upfront, and what happens automatically at the end of the trial].
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or related systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer or attempt to extract source code except as permitted by law; or (e) use the Service to send unsolicited communications in violation of applicable law (including the U.S. TCPA/CAN‑SPAM and Israel's Communications Law (Consumer Protection) (Amendment No. 40), 5768‑2008, the "Spam Law").
We provide support on a reasonable‑efforts basis through the channels we make available from time to time. We do not guarantee any specific response time or uptime unless a separate written service‑level agreement says otherwise.
SeppFlow and its licensors retain all right, title, and interest in the Service, including all software, design, and trademarks. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.
Each party may receive non‑public information from the other in connection with the Service ("Confidential Information"). Each party agrees to use the other's Confidential Information only to perform its obligations under these Terms and to protect it with at least the same degree of care it uses for its own confidential information of similar importance, and no less than reasonable care. This section does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
Each party represents it has the authority to enter into these Terms. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE. EACH PARTY'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Nothing in these Terms limits liability that cannot be limited under applicable law, including under Israeli consumer‑protection law where it applies.
You agree to indemnify and hold SeppFlow harmless from third‑party claims, damages, and reasonable costs arising out of your breach of these Terms, your misuse of the Service, or Customer Data you submit in violation of applicable law or a third party's rights, except to the extent caused by SeppFlow's own breach or negligence.
We may suspend access to the Service, in whole or in part, if we reasonably believe your use presents a security, legal, or operational risk, with notice where practicable. Either party may terminate for the other's uncured material breach after notice. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ends; we will handle any retained Customer Data as described in our Privacy Policy.
[TODO: confirm governing law and forum]. As a starting point for discussion with counsel: Israeli‑based customers' agreements are typically governed by the laws of the State of Israel with the competent courts of a specified city having jurisdiction; U.S.‑based customers' agreements are typically governed by the law of a specified U.S. state with courts of that state having jurisdiction. Nothing in this section overrides any non‑waivable statutory right you have as a consumer under the law of your own jurisdiction.
We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in‑app notice) and, where required, ask you to re‑accept before the changes take effect. Continued use of the Service after non‑material changes take effect constitutes acceptance of the updated Terms.
Questions about these Terms can be sent to [TODO: legal/support contact email].
